The Football Association have charged Bristol City, their striker Enoch Showunmi and agent Charles Collymore with misconduct.
All parties have until 18 April to respond to the charges, which relate to Showunmi's move from Luton in 2006.
It is alleged that City dealt with an unlicensed agent and broke FA rules by paying £30,000 to a third party.
A club statement said: "Bristol City has acted in good faith throughout and co-operated with the FA at all times."
It continued: "The club is very disappointed by their decision to bring these charges and denies the allegations strenuously."
The FA allege that City broke the rules by paying licensed agent Charles Collymore for the deal when they knew part or all of the money was actually going to an unlicensed operator.
Showunmi has been charged with "engaging the services of an individual, who was not a licensed agent or entitled to act in such a capacity" to represent him in contract negotiations with Luton Town and using the same person for contract negotiations with Bristol City in 2006.
Collymore has been charged with "entering into a sham arrangement with an unlicensed agent" to take the player to Bristol City.
These charges are in addition to further claims by the FA that Collymore touted Showunmi to Millwall while he was still at Luton Town, without the knowledge of his club.
